Delivery Agreement

This Agreement is concluded between the User (as an individual or a company) and the company EMTeachline (the Developer) for the delivery of the pre-paid by the user software product (the Program) of the company EMTeachline.

DEVELOPER'S OBLIGATIONS

1. The Developer should send to the User via e-mail a copy of the paid-up Program within four working days after a notification of payment is received. The Program is sent as a self-installing archive and is immediately ready for use.

2. The Developer should provide the User with the personal registration code, immediately after the requested registration information is received from the User.

3. The Developer should render technical support related with the use of the Program.

USER'S OBLIGATIONS

1. The User should pay for the order in full, including payment-processing charges (e.g. bank transfer fees if applicable). In the case that a payment from the User is only partly received, the received payment is returned to the User, and the Program is not delivered.

2. The User should provide the Developer with the existing address of his/her e-mail box. The size of the archived Program is indicated at the Developer's site on the page "Order".

3. The User should register his/her copy of the Program within one month since the installation time.

SIDES' OBLIGATIONS

1. If the User has not received the Program within four working days after the User is notified that he/she has paid in full, or the received file has been damaged during transfer, the User should contact the Developer (support@emteachline.com) for further instructions.

In the case that the Program cannot be delivered by e-mail, the Developer is obliged to return the received payment less bank transfer fees.

2. If within ten working days the Developer is not notified by the User that the Program has been actually delivered, the Developer's obligations are considered fulfilled.

FORCE MAJEURE

In the force majeure circumstances (including natural catastrophes, fires, floods, popular uprising, hostilities and other extreme events) making impossible an execution of order in accordance with the present Agreement, the time of performance of Agreement shifts pro rata a period of effects of these force majeure circumstances or their consequences.


License Agreement

IMPORTANT - READ CAREFULLY

This License Statement constitutes a legal agreement ("License Agreement") between you (either as an individual or a single entity) and EMTeachline company ("EMTeachline") for the software product (the "Program") of EMTeachline, including any software, databases, media, "bilt-in" and accompanying electronic documentation. The program includes also any updates and upgrades, additional software products and/or additions which may be made available for you by EMTeachline after you purchased the mainframe copy, and only in the case that these additions are not accompanied by separate license agreements or conditions of use. BY DOWNLOADING, INSTALLING, COPYING, ACCESSING OR OTHERWISE USING THE PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS LICENSE AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT.

COPYRIGHT

The program is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. You acknowledge that the program is licensed to you and not sold.

GRANT OF LICENSE

As long as you comply with the terms of this License Agreement, EMTeachline grants to you a personal, nonexclusive, nontransferable and limited license to install and use a single copy of the program on a single computer, device, work-station or terminal. You may make one copy of the program and install it on a single portable device for use by the same person who uses the main copy of the program. The license for the program is indivisible. Except for the license granted to you under this Agreement, you acknowledge and agree that all rights, titles, and interests in and to the program, including all associated intellectual property rights, are and shall remain vested with EMTeachline.

LICENSE RESTRICTIONS

You receive no rights and agree not to:

1. modify, translate, reverse engineer, decompile, disassemble the program, databases and other components of the program, induce any changes to the compiled code of the program, accompanying databases and other files, except those that are implemented by the program means and described in documentation;

2. create your own databases to be used with programs of the company EMTeachline;

3. transfer, rent, lease, lend, copy, modify, translate, port, localize, create derivative works of, market, distribute, sublicense, time-share or electronically transmit or receive the program or documentation;

4. resell, relicense or otherwise transfer rights to the program; remove or obscure any proprietary notices or labels from the program;

5. detach components from the program for a separate use on a number of devices.

BACKUP COPY

You may keep the initial archived file delivered to you by EMTeachline solely for the purpose of keeping the backup copy. You may not make any other copy of the program.

SERVICE MARK

The present Agreement gives you no rights with respect to any trade or service marks belonging to EMTeachline.

TERMINATION OF AGREEMENT

Your license to use the program shall become effective on the date you agree to the terms and conditions of this License Agreement. Your license to use the program shall terminate automatically if you fail to comply with the limitations described in this License Agreement. No notice shall be required from EMTeachline to effectuate such termination. Upon termination of this License Agreement for any reason, you shall make no further use of the Software and shall destroy all copies of the program and all of its component parts on all systems, in all forms, in all types of media and computer memory, and whether or not modified or combined with other materials.

INTELLECTUAL PROPERTIES RIGHTS

The program (including but not limited to software, databases, music, texts, images, photographs, sounds or other artistic works, related explanatory written materials or files, upgrades, modified versions, updates, additions) and any copies that you are authorized by EMTeachline to make are the intellectual property of and are owned by EMTeachline.

WARRANTY

The program provided under this License Agreement, including but not limited to libraries, source code and other files, are provided "as is," without warranty of any kind. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EMTEACHLINE DISCLAIMS ALL WARRANTIES AND CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, WITH REGARD TO THE PROGRAM, AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES. EMTEACHLINE DOES NOT WARRANT THAT THE PROGRAM WILL BE ERROR FREE OR WILL OPERATE WITHOUT INTERRUPTION. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE PROGRAM AND ACCOMPANYING MATERIALS REMAINS WITH YOU.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EMTEACHLINE BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS OR BUSINESS INTERRUPTION, GOODWILL, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) WHETHER BASED ON PRINCIPLES OF CONTRACT, TORT (INCLUDING NEGLIGENCE), DUTY, INDEMNITY, CONTRIBUTION OR OTHERWISE, ARISING OUT OF THE USE OF OR INABILITY TO USE THE PROGRAM OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF EMTEACHLINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This Agreement constitutes the entire agreement between you and EMTeachline and supersedes any prior agreements, representations, proposals or understandings, whether oral or written, with respect to the subject matter of this Agreement.
